Terms of Service

1. Agreement to Terms

By accessing or using our website, services, or products, you agree to these Terms of Service ("Terms"). If you do not agree, do not use our services.

2. Services

Evolucia One Ltd provides software development, backend modernization, AI/LLM integration, and related consulting services. The scope, deliverables, and timelines are defined in individual Statements of Work (SOWs) or proposals.

3. Use of Services

You agree to:

• Provide accurate and complete information.
• Use our services only for lawful purposes.
• Not reverse-engineer, decompile, or otherwise misuse our deliverables.

4. Fees & Payment

Fees are as agreed in writing. Unless otherwise stated:

• Payments are due within 14 days of invoice.
• Late payments may incur interest at 4% above the Bank of England base rate.

5. Intellectual Property

• Client IP: You retain ownership of any data, content, or IP you provide to us.
• Evolucia One IP: We retain ownership of our methodologies, code libraries, frameworks, and pre-existing IP.
• Deliverables may include licensed elements subject to separate terms.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, except where disclosure is required by law.

7. Warranties & Disclaimers

We will deliver services with reasonable skill and care. However:

• We do not guarantee that services will be error-free or uninterrupted.
• Except as stated in these Terms, all warranties (express or implied) are excluded to the fullest extent permitted by law.

8. Limitation of Liability

To the extent permitted by law:

• Our total liability for any claim is limited to the total fees paid for the services giving rise to the claim.
• We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate with written notice if the other breaches these Terms and fails to remedy within 14 days. Upon termination, you must pay for all services rendered up to that date.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on our website with the effective date.
